Distance selling agreement
1. Parties and subject
This agreement sets out the rights and obligations of Novus Enerji Sistemleri Ticaret Limited Şirketi ("NovuSoft") as seller and the buyer placing an order through https://novusoft.com.tr, regarding the sale and delivery of the products described below.

2. Orders and formation of the contract
The order form on this site is a request for a quote. Once the request arrives we send a written quote covering product, quantity, unit price, lead time and payment terms. The contract is formed when the buyer approves the quote in writing and the seller confirms the order.
Before ordering, the buyer is informed of the essential characteristics of the product, the price, payment and delivery terms and the right of withdrawal; this information is set out in the quote document.
3. Price and payment
Product prices are set in US dollars (USD). The Turkish lira amount is calculated using the foreign-exchange selling rate of the Central Bank of the Republic of Türkiye, and VAT is added to the invoice.
Turkish lira figures shown on the site are indicative and calculated at that day's rate. The invoice is issued at the Central Bank foreign-exchange selling rate on the day it is drawn up. Movements arising from the exchange rate are not treated as a price change.
Payment is made by bank transfer as set out in the quote. Shipping and freight costs are borne by the buyer unless the quote states otherwise.
4. Delivery
Products are delivered to the address given in the quote by courier or contracted freight. The delivery period starts when payment reaches the seller's account and in any case does not exceed the thirty (30) days prescribed by law.
For items not held in stock, the lead time is stated separately in the quote. If a product cannot be supplied, the seller informs the buyer within three (3) business days of learning this, and any amount paid is refunded within fourteen (14) days at the latest.

5. Orders shipped outside Türkiye
Sales delivered outside Türkiye count as export sales and are exempt from VAT under article 11 of Turkish VAT Law no. 3065. These orders are invoiced in US dollars; no Turkish lira conversion is applied.
- Payment is made by SWIFT transfer to the foreign-currency account given in the quote. Transfer charges are borne by the buyer.
- Shipping method, delivery terms and lead time are set out in the quote.
- Customs duties, import charges and local taxes in the destination country are the buyer's responsibility.
- It is the buyer's responsibility to assess the product's compliance with import, operating and radio regulations in the destination country.
The right of withdrawal and the Consumer Arbitration Committee route under Law no. 6502 apply to consumers resident in Türkiye. For orders shipped abroad, return and warranty terms are set out in the quote document; where the quote is silent, the warranty provisions of this agreement apply.
6. Right of withdrawal
A buyer acting as a consumer may withdraw from the contract within fourteen (14) days of receiving the product, without giving any reason and without paying a penalty.
The right is exercised by sending a clear notice to bilgi@novus.tr or to the registered e-mail address above. It is sufficient that the notice is sent within the period.
The price and delivery costs are refunded within fourteen (14) days of the withdrawal notice reaching the seller. The buyer returns the product within ten (10) days of the notice; return shipping is at the buyer's expense.
The product must be returned in resaleable condition with its box, accessories and any documentation. The buyer is liable for loss of value arising from use contrary to the instructions.
7. Where the right of withdrawal does not apply
Under article 15 of the Distance Contracts Regulation, withdrawal does not apply to:
- Products made or configured specially to the buyer's requirements
- Devices produced or labelled under the buyer's own brand
- Services performed instantly in electronic form and intangible goods — software whose licence key has been delivered
- Products unsuitable for return on grounds of health or hygiene once unsealed
Withdrawal provisions do not apply to buyers acting for commercial or professional purposes; for them the return terms in the quote document govern.
8. Warranty and defective goods
Hardware carries a two (2) year warranty against manufacturing defects from the delivery date. The warranty does not cover faults arising from incorrect use, unauthorised intervention, dropping, liquid contact, overvoltage or lightning.
Where goods are defective, the buyer may choose between rescinding the contract, a price reduction, free repair, or replacement with a non-defective equivalent.
9. Disputes
Buyers acting as consumers may apply to the Consumer Arbitration Committee or Consumer Court at their place of residence, within the monetary limits set annually by the Ministry of Trade.
In all other cases the courts and enforcement offices of Istanbul (Anatolian side) have jurisdiction.
10. Entry into force
By confirming the order the buyer declares that they have read, understood and accepted all terms of this agreement. The agreement takes effect when the seller confirms the order.
